Some of you may be aware that attempts have been made to extract some meaningful information regarding the ‘Windfarm Money’ and it’s allocation, for example at the well attended Community Council meeting in June.

I initially emailed a couple of members of the community council a letter, on 13th May, requesting further information and making some general observations but have, as yet, to receive a reply. I had hoped that it may have been read at a CC meeting, as requested, or at least acknowledged.

( The letter was posted in our window on Main Street along with the latest CC minutes. )

It initially appeared to be fairly difficult to obtain any relevant information, however, the KCDT Membership application form includes the line “KCDT is a Company Limited by Guarantee – registered in Scotland No SC497287 ” which means that the public have access to the following information published on the Companies House web site…

Updated 19:27 30th – I have since been informed that the paragraph (below) is applicable to the Kirkcowan Hall Committee Constitution and NOT the KCDT.

After informally requesting whether the minutes of meetings would be made available – I was initially informed
That minutes of Trust meetings would not be available to the public.
That minutes would only be available to actual members and then possibly only in a redacted form.

Happy to correct / clarify

I was therefore intrigued to note that, according to the Articles of Association…

52 – The Board shall cause minutes to be made of all appointments of officers made by it and of the proceedings of all General Meetings and of all Board meetings and of sub-committees, including the names of those present, and all business transacted at such meetings and any such minutes of any meeting, if purporting to be signed after approval, either by the chairman of such meeting or by the chairman of the next succeeding meeting, shall be sufficient evidence without any further proof of the facts therein stated.

52.1 – Subject to Article 52 the company, upon request of any person for a copy of any minutes must, if the request is reasonable, give the person with 28 days of the request a copy of the requested minutes.

52.2 – Where such a request is received under Article 52.1 the company:
(a) may withhold information contained in the minutes, and
(b) if it does so, must inform the person requesting a copy of the minutes of its reason for doing so.

Consequently today (29th July 2019) I have emailed two of the above directors with the following:

” I would like to formally request a copy of all the minutes of the Kirkcowan Community Development Trust to date (July 29th 2019) from its date of incorporation on 7th July 2015″

We will await developments with interest…
